Position Details

 

 

Institutional Asset Management Attorney

 

Our client, a highly successful investment and technology firm,s  seeks a lawyer with three or more years of experience

in institutional asset management to join its legal department.

This new position is being created specifically to assist in structuring and growing the firm's institutional asset management business. Responsibilities will include negotiating investment management agreements with institutional investors,

structuring various institutional products, and counseling the Investor Relations department in its marketing

of institutional asset management products. 

The candidate we hire may also contribute to other projects for the legal department and

other departments in the firm.

The ideal candidate must be exceptionally intelligent, creative, and hard-working; and possess

superior writing and analytical ability, impressive organizational skills, and an obsessive concern for detail.

Extensive experience with the Investment Advisers Act of 1940 is required, as is working knowledge of ERISA. 

Experience with the Securities Act of 1933, the Securities Exchange Act of 1934,

the Investment Company Act of 1940, and of CFA Institute performance presentation standards is a strong plus.

The client’s Tax department seeks an experienced attorney with a comprehensive knowledge of current law

and regulations applicable to the taxation of financial products and entities. 

Responsibilities will include the analysis and recommendation of alternative structures or transactions

to achieve tax efficiency for the firm's numerous strategies. 

Candidates must possess an ability to interact with senior management, proprietary trading staff, and outside counsel. 

The ideal candidate should have four to six years of related experience and exhibit exceptional intelligence and creativity. 

The position requires superior research and analytic ability, impressive organizational skills, and an obsessive attention to detail. 

A lively interest in investment management, financial, legal and regulatory concepts is essential. 

Credit/Distressed Opportunities Attorney

 

Company seeks a fourth- to sixth-year associate for a front-office, deal-driven position in a Credit/Distressed Opportunities

and Special Situations investment fund. 

The candidate must be motivated, creative, articulate, and able to structure and execute complex transactions

quickly and effectively with minimal supervision. 

The successful candidate must be a team player, have a strong business sense, and a broad range of corporate finance,

M&A, and bankruptcy experience. 

 

 

Contract Reviewer & Relationship Manager

 

Clients  is seeking a specialist for its Contract Review Department to handle the group's documentation and

manage its counterparty relationships.

Responsibilities include reviewing, negotiating, and maintaining trading, data, confidentiality,

non-disclosure, and other agreements; reviewing trade confirmations; maintaining relations with

credit departments; providing support documents for counterparties; supporting trading and operations;

identifying and implementing regulatory issues; negotiating pricing; and coordinating the establishment of new businesses. 

 

The ideal candidate will have strong knowledge of financial markets and products as well as

one to five years' experience in reviewing and negotiating various software licensing,

data, confidentiality and trading agreements.

Legal or paralegal experience is a plus.
